1. Acceptance of Terms
These Terms of Service (“Terms”) govern your use of geoveris.tech (the “Site”), operated by GeoVeris Engineering & Geospatial Consultancy (“GeoVeris”, “we”, “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
2. Use of the Website
You agree to use the Site only for lawful purposes. You may not:
- Attempt to gain unauthorized access to any part of the Site or its underlying systems;
- Submit false, misleading, or fraudulent information through our forms;
- Use automated means (scraping, bots) to extract content at scale without our prior written consent;
- Interfere with the Site’s normal operation or security, including through the transmission of malware; or
- Use the Site to transmit unsolicited advertising or spam.
3. Intellectual Property
All content on the Site — including text, graphics, logos, maps, and software — is owned by GeoVeris or its licensors and is protected by applicable intellectual property laws. You may view and share Site content for personal or internal business reference, but you may not reproduce, modify, or redistribute it commercially without our prior written permission.
Client deliverables. Reports, models, datasets, and other deliverables produced for a client under a signed statement of work (“SOW”) transfer to that client upon receipt of full payment for the applicable engagement, except where the SOW states otherwise. We retain the right to reference the general nature and outcome of an engagement (in anonymized or client-approved form) for our own marketing and portfolio purposes, subject to any confidentiality obligations agreed with the client.
4. Website Inquiries Do Not Create a Binding Contract
Submitting a form on the Site — including a general inquiry, quote request, or consultation booking — does not, by itself, create a binding contract or engagement between you and GeoVeris. It is an expression of interest only. A formal consultancy engagement comes into effect only once both parties have signed a separate written agreement or statement of work setting out scope, deliverables, fees, and schedule.
5. Service Engagements
Consultancy services themselves (hydrological and hydraulic modeling, GIS and remote sensing analysis, custom software development, and related work) are governed by the specific SOW or services agreement signed for that engagement, not by these Terms. Where the terms of a signed SOW conflict with these Terms, the SOW governs for that engagement.
6. Liability & Disclaimers
The Site and its general content are provided “as is” for informational purposes, without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or secure.
Professional deliverables (models, analyses, and reports) produced under a signed SOW are prepared using the data, assumptions, and methodology stated in that report, and are valid only within the limitations expressly disclosed in it. Except as expressly warranted in a signed SOW, we make no warranty regarding the fitness of any deliverable for a particular purpose beyond what is stated. To the fullest extent permitted by law, our aggregate liability for any claim arising from a Site-only interaction (as opposed to a signed engagement) is limited to the amount, if any, you paid us for that interaction — which for most visitors is zero.
7. Payment Terms
Fees for consultancy engagements are set out in the applicable SOW or proposal. Unless otherwise agreed in writing, invoices are due within thirty (30) days of the invoice date (“net 30”). Late payments may accrue interest or result in suspension of ongoing work, at our discretion, until the account is brought current. These payment terms apply to signed engagements only; the Site itself does not process payments.
8. Confidentiality
We treat information you share with us — through the Site or during an engagement — as confidential and use it only for the purposes of responding to your inquiry or delivering the agreed services. Formal engagements may be further governed by a mutual non-disclosure agreement, which we are glad to sign on request.
9. Termination
We may suspend or restrict access to the Site, at our discretion, for anyone who violates these Terms. Termination or suspension of Site access does not affect the terms of any active signed engagement, which is governed separately by its own SOW, including that SOW’s own termination provisions.
10. Governing Law
These Terms are governed by the laws of [Jurisdiction — to be finalized], without regard to its conflict-of-law principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless a signed SOW for a specific engagement states otherwise.
11. Changes to These Terms
We may update these Terms from time to time. We will revise the “Last updated” date above when we do, and material changes will be reflected prominently on this page. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
